Terms of Service

These Terms ("ToS") govern the use of the Workvin SaaS platform (the "Service"), provided by SIA "Workvin" (reg. No. 44103125090, Stiebru iela 1-50, Rīga, LV-1015, Latvia) ("Workvin").
1. Acceptance of the terms
By registering and using the Service, you (the "Client", "Tenant") confirm that you have read and agree to these ToS. Acceptance of the DPA (Data Processing Agreement) is a mandatory condition for activating the Service.
2. Description of the Service
Workvin provides a SaaS platform for:
- recording employees' working time (clock-in/out, GPS verification, photo);
- HR management (employees, contracts, documents);
- scheduling and absence management;
- analytics and reporting on working time.
3. Accounts and security
3.1. The Client is responsible for all actions carried out under its credentials.
3.2. The Client must notify Workvin without undue delay of any unauthorised access to its account.
3.3. Workvin applies MFA, encryption and other technical measures (see the DPA, section 8).
4. Client data
4.1. The Client is the controller of the personal data of its employees. Workvin acts as processor under the DPA.
4.2. The Client warrants that it has a lawful basis (Art. 6 GDPR, and for special categories Art. 9 GDPR) for transferring personal data to Workvin, has determined the correct basis per country, and has obtained the necessary consents or otherwise secured a lawful basis (GPS, photo, biometrics). The Client acknowledges that an employee's consent in the employment relationship may be invalid due to the imbalance between the parties (EDPB 05/2020) and provides an equivalent alternative without penalties. The Client fulfils its transparency obligations (Art. 13/14) towards its employees.
4.3. Workvin processes data only in accordance with the Client's instructions and the DPA.
5. Usage restrictions
The Client may not:
- use the Service for unlawful purposes;
- grant access to third parties without Workvin's written consent;
- attempt to gain unauthorised access to the data of other tenants;
- reverse-engineer or copy the Service.
6. Pricing and payment
6.1. The price of the Service is set out in the current price list or in an individual agreement.
6.2. Payment is made monthly/annually in advance. Payment overdue by ≥14 days may result in restriction of access.
6.3. Invoices are issued in EUR; VAT is applied at the rate of the Client's country of registration.
7. Intellectual property
7.1. Workvin retains all IP rights in the Service, including software, design and trademarks.
7.2. The Client retains all rights to its employees' data.
8. Availability and SLA
Workvin uses reasonable efforts to keep the Service available 99.5% of the time per month (excluding scheduled maintenance). SLAs are detailed in the Master Agreement.
9. Limitation of liability
Workvin's liability is limited to the amount of payments received from the Client over the last 12 months. Workvin is not liable for indirect damages or lost profit.
The limitations in this section do not apply to: (a) liability towards data subjects and recourse under Art. 82 GDPR (joint controller/processor liability cannot be excluded by contract); (b) intent and gross negligence; (c) harm to life and health; (d) breaches for which liability cannot be limited under applicable mandatory law of LV/EE/LT. Allocation of data-processing liability between the parties is governed by the DPA and Art. 82(2) GDPR.
10. Termination
10.1. Either party may terminate the agreement with 30 days' notice.
10.2. On termination, Workvin provides the Client with a data export within 30 days, after which the data is deleted in accordance with our retention policy (see Privacy Policy §6).
11. Governing law
These ToS are governed by:
- for registration in LV: Latvian law, courts of Rīga;
- for registration in EE: Estonian law, courts of Tallinn;
- for registration in LT: Lithuanian law, courts of Vilnius.
12. Changes to the ToS
Workvin notifies of material changes to the ToS 30 days in advance. Continued use of the Service after the changes take effect constitutes acceptance.
